Our service is limited to preparing and filing dissolution paperwork with the appropriate state agencies and, where applicable, the IRS. Services Provided
We offer business dissolution filing services for LLCs, corporations, and other business entities across all 50 US states. Our State-Only Closure plan includes drafting the Owners Resolution to Dissolve, preparing state dissolution paperwork, filing with the Secretary of State, and providing official confirmation. Our Complete Closure plan includes everything in State-Only plus final tax year IRS forms filing, Federal Tax Account Termination Request, official IRS confirmation letter, and an Asset & Liability Wrap-up Resolution.
Pricing & Fees
Our service fee is separate from state filing fees. State filing fees are set by each state's Secretary of State office and vary by state. The total cost of your dissolution includes our service fee plus any applicable state filing fees. All prices are listed in US dollars. There are no hidden fees. The price shown at checkout is the total you will pay.
Refund Policy
Refunds are available before we begin filing your paperwork with the state. Once your dissolution documents have been submitted to the Secretary of State or IRS, no refunds will be issued, as filing fees paid to government agencies are non-refundable and the filing process cannot be reversed. If there is an error on our part, we will correct and refile at no additional cost.
Your Responsibilities
You are responsible for providing accurate and complete information about your business entity. Incorrect or incomplete information may delay the dissolution process or result in a rejected filing. You confirm that you have the authority to dissolve the business entity and that all necessary internal approvals (e.g., member/shareholder votes) have been obtained.
Limitation of Liability
To the maximum extent permitted by law, Dissolve My LLC and Prodezk shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our service. Our total liability shall not exceed the amount you paid for the specific service in question. We are not responsible for delays caused by government agencies or errors resulting from incorrect information provided by you.
Processing Times
Processing times vary by state and are determined by each state's Secretary of State office. While we file your paperwork as quickly as possible, we cannot guarantee specific turnaround times as they depend on government agency processing schedules. We will keep you informed of your filing status throughout the process.
Modifications to Terms
We reserve the right to update these Terms of Service at any time. Changes take effect immediately upon posting to our website. Your continued use of our service after changes are posted constitutes acceptance of the modified terms.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these terms or your use of our service shall be resolved in the courts of Miami-Dade County, Florida.
