LLC Dissolution Checklist: Everything You Need to Do

Use this complete LLC dissolution checklist to make sure you handle every step, from pre-filing tasks to post-dissolution cleanup.

Phase 1: Pre-Dissolution (Before You File)

Review Your Operating Agreement

  • Check the dissolution provisions in your operating agreement
  • Determine what type of vote or consent is required (unanimous, majority, etc.)
  • If you do not have an operating agreement, review your state's default LLC statute

Hold a Member Vote

  • Schedule and hold a formal vote to dissolve
  • Document the vote in a written resolution
  • Include the date, names of voting members, and the outcome
  • Have all members sign the resolution
  • For single-member LLCs, create a written resolution documenting your decision

Assess Financial Obligations

  • Create a complete inventory of all debts and liabilities
  • List all known creditors and amounts owed
  • Check for outstanding tax obligations (federal, state, local)
  • Review any lease agreements for early termination clauses
  • Identify all contracts that need to be fulfilled or terminated

Settle Debts and Obligations

  • Pay outstanding debts where possible
  • Negotiate settlements for debts that cannot be paid in full
  • Get all settlement agreements in writing
  • Fulfill or terminate remaining contracts

Phase 2: Creditor Notification

Notify Known Creditors

  • Send written notice to all known creditors
  • Include the dissolution date, a claims deadline, and a mailing address for claims
  • Keep copies of all notices sent

Publish Notice (If Required)

  • Check if your state requires public notice of dissolution
  • If yes, publish in the required newspaper(s) for the required duration
  • Keep proof of publication

Wait for Claims Period

  • Allow the full claims period to expire (typically 90 to 180 days)
  • Address any claims received during the period

Phase 3: State and Federal Filings

Obtain Tax Clearance

  • Check if your state requires a tax clearance certificate for dissolution
  • If yes, apply for the certificate from your state tax agency
  • Ensure all state taxes are current before applying
  • Allow processing time (can take two to eight weeks depending on the state)

File Articles of Dissolution

  • Obtain the correct dissolution form from your state's Secretary of State
  • Complete the form with your LLC's legal name, filing number, and dissolution details
  • Attach any required documents (tax clearance certificate, member consent, etc.)
  • Pay the state filing fee
  • Submit the filing (online, by mail, or in person, depending on the state)

Withdraw from Foreign States

  • Identify all states where your LLC is registered as a foreign entity
  • File a Certificate of Withdrawal in each foreign state
  • Obtain tax clearance in each foreign state (if required)
  • Pay any applicable withdrawal fees

File Final Tax Returns

  • File the final federal income tax return (Schedule C, Form 1065, or Form 1120/1120-S) and check the "Final Return" box
  • File IRS Form 966 if your LLC was taxed as a corporation (due within 30 days of adopting the dissolution plan)
  • File final state income tax returns in all applicable states
  • File final sales tax returns and remit any outstanding amounts
  • File final employment tax returns (Forms 941, 940) if you had employees
  • Issue final W-2s to employees and 1099s to contractors

Phase 4: Post-Dissolution Cleanup

Close Business Accounts

  • Close all business bank accounts
  • Close business credit cards
  • Cancel any business lines of credit

Close Your EIN

  • Send a letter to the IRS requesting to close the EIN account
  • Include the LLC name, EIN, business address, and reason for closure

Cancel Licenses and Permits

  • Cancel state business licenses
  • Cancel local/city business licenses
  • Cancel professional licenses (if applicable)
  • Cancel sales tax permits
  • Cancel any industry-specific permits

Cancel Services and Subscriptions

  • Cancel registered agent service (after dissolution is confirmed)
  • Cancel business insurance policies
  • Cancel recurring software subscriptions
  • Cancel domain registrations (or transfer to personal ownership if you want to keep them)
  • Cancel any other recurring business services

Distribute Remaining Assets

  • Confirm all debts and obligations are settled
  • Distribute remaining assets to members per the operating agreement
  • Document all distributions

Maintain Records

  • Keep all dissolution-related documents for at least seven years
  • Retain copies of filed tax returns for at least seven years
  • Store member resolutions, creditor notices, and settlement agreements
  • Keep the operating agreement and formation documents

Timeline Overview

A typical dissolution timeline looks like this:

  • Weeks 1 to 2: Review operating agreement, hold member vote, assess debts
  • Weeks 2 to 4: Notify creditors, begin settling debts, apply for tax clearance
  • Weeks 4 to 12: Wait for tax clearance and creditor claims period
  • Weeks 8 to 16: File articles of dissolution, file final tax returns
  • Weeks 12 to 20: Post-dissolution cleanup (close accounts, cancel services)
