But Atlas only handles formation. Closing your Atlas LLC requires separate action with the State of Delaware, the IRS, and any banking or payment accounts. Here is exactly what to do.

Is a Stripe Atlas LLC a Delaware LLC?

Yes. Stripe Atlas forms a Delaware LLC or C Corporation by default. Almost all Stripe Atlas companies are Delaware entities. Delaware is chosen because of its flexible corporate law, established Court of Chancery, and no state income tax on income earned outside Delaware.

Every Stripe Atlas LLC is a Delaware LLC registered with the Delaware Division of Corporations. To dissolve a Stripe Atlas LLC, you must file a Certificate of Cancellation with the Delaware Division of Corporations and pay a $220 filing fee. Stripe does not submit this filing on your behalf.

Delaware LLCs owe an annual franchise tax of $300 per year, due by June 1 of each year. This fee is separate from the $220 dissolution filing fee. If your Atlas LLC was active for any part of a calendar year, you owe the $300 for that year. Before filing dissolution, pay any outstanding franchise taxes. Delaware will not process your Certificate of Cancellation if unpaid taxes are on record.

Founders often assume that stopping payments to Stripe Atlas closes the company. It does not. Canceling your Stripe Atlas subscription stops the Atlas service fees but does not dissolve your Delaware LLC. Your LLC remains legally active, the $300 annual franchise tax keeps accruing, and your registered agent fee continues until you file the Certificate of Cancellation with the Delaware Division of Corporations.

The dissolution requires action in three separate places: Delaware (state dissolution), the IRS (federal account closure), and your banking and payment providers. Each step is independent. Completing one does not automatically trigger the others.

Step 1: How Do You Close Your Mercury Bank Account?

Most Stripe Atlas LLCs open a Mercury business checking account as part of Atlas onboarding. Before dissolving the LLC, close or transfer the Mercury account. An open bank account complicates dissolution because residual assets must be distributed to members before the LLC closes.

Log into Mercury at mercury.com, transfer any remaining funds to a personal account, and then contact Mercury support to close the business account. Mercury typically processes closures within 3 to 5 business days. Get written confirmation that the account is closed and keep it permanently.

Do not close the Mercury account until all outstanding transactions have cleared and all automatic payments linked to the account have been canceled or transferred. A returned payment after account closure creates complications with vendors and can delay the rest of the dissolution process.

If your Atlas LLC had any outstanding Stripe balances, wait until those fully settle before closing the Mercury account. Stripe sometimes holds funds 7 to 14 days after the last transaction for dispute protection. Closing the bank account with a pending Stripe payout creates a failed transfer that requires manual resolution.

Step 2: How Do You Close Your Stripe Account?

Stripe accounts must be closed separately from canceling Atlas. Log into the Stripe Dashboard at dashboard.stripe.com. Before closing, download all invoices, customer data, and financial records you need for tax purposes. Once a Stripe account is closed, access to historical data becomes limited.

In the Stripe Dashboard, go to Settings, then Business Settings, and look for the account closure option. Stripe requires that all outstanding disputes are resolved, all payouts are settled, and the balance is $0 before allowing closure. If Stripe shows an open balance or dispute, wait until those resolve before proceeding.

Export your complete Stripe transaction history before closing the account. Download CSV exports of all payments, payouts, and fees. The IRS may request proof of revenue on your final tax return, and Stripe data becomes harder to access after the account is closed.

Step 3: How Do You Cancel Your Registered Agent?

Stripe Atlas sets up a registered agent for your Delaware LLC at formation. The registered agent receives legal notices and official correspondence on behalf of the LLC. Before or simultaneously with filing the Certificate of Cancellation, notify your registered agent in writing.

Include the LLC's legal name, the Delaware entity number (found on your original Certificate of Formation), and a request to cancel service effective on the dissolution date. Keep the registered agent active until the Delaware Secretary of State confirms your dissolution is complete. You need a valid registered agent in place until the state processes the cancellation, because Delaware may send official correspondence during that period.

Do not cancel your registered agent before the Delaware Division of Corporations confirms your Certificate of Cancellation. Cancel only after you receive written dissolution confirmation. Then send the registered agent a formal cancellation letter and keep their written acknowledgment with your dissolution records.

Step 4: How Do You File the Certificate of Cancellation With Delaware?

The Certificate of Cancellation is the official document that ends your Delaware LLC's legal existence. File it through the Delaware Division of Corporations online at corp.delaware.gov or by mail. The filing fee is $220. Standard processing takes 1 to 3 weeks. Delaware offers 24-hour expedited processing for an additional fee if you need it faster.

The Certificate requires: the LLC's exact legal name as registered in Delaware, the date of formation, a statement that dissolution was approved by the members, and the required signatures. For single-member LLCs, one signature is sufficient. Make sure all outstanding franchise taxes are paid before filing. Delaware checks for unpaid taxes in real time and will reject the filing if any are owed.

To file the Delaware Certificate of Cancellation: go to corp.delaware.gov, navigate to the dissolution filing section, pay the $220 fee, and submit. Delaware mails a stamped copy of the Certificate of Cancellation to the registered agent address on file. Save this document permanently. It is your legal proof that the LLC no longer exists.
