How to Dissolve a Connecticut LLC (2026)

Connecticut charges $0 to dissolve an LLC. File Form BUS-035 online, then close your DRS tax accounts. Dissolve before January 1 and you skip the $80 report.

Quick Answer

File a Certificate of Dissolution (Form BUS-035) with the Connecticut Secretary of the State. The state charges $0 for it, and you can file online at Business.CT.gov. Then file final returns and close your accounts with the Department of Revenue Services, which the dissolution does not do for you.

Connecticut is one of the few states that charges nothing to dissolve an LLC. The filing is one short form. The part people miss is the tax side: dissolving with the Secretary of the State does not close your accounts with the Department of Revenue Services.

How Much Does It Cost to Dissolve an LLC in Connecticut?

$0 in state fees. The Secretary of the State lists the Certificate of Dissolution for a domestic LLC at $0 online, and the paper form (BUS-035) is marked "No Fee Required."

Compare that with keeping the LLC open: every Connecticut LLC files an $80 annual report each year, due between January 1 and March 31. As long as the LLC is registered, that report keeps coming.

If you dissolve before January 1, 2027, you will not owe the 2027 annual report. Wait until spring and you pay $80 for a company you are closing.

What Do You File to Dissolve a Connecticut LLC?

One form: the Certificate of Dissolution, Limited Liability Company, Domestic (BUS-035). It asks for very little:

  • The LLC's exact name as it appears on the state's records, including "LLC" or "L.L.C."
  • An optional future effective date, if you want the dissolution to take effect later
  • The name, title, and signature of the person signing

You can file it online through your Business.CT.gov account, which the state says is faster and gets fewer rejections than paper. Expedited service is only available online.

Do You Need Tax Clearance to Dissolve in Connecticut?

No separate clearance certificate is required to file the LLC dissolution. But the state is explicit that the dissolution and your tax accounts are two different things. Business.CT.gov tells owners to pay any balances for sales and use tax, employee withholding, and unemployment tax, then close those accounts.

The Department of Revenue Services lets you close accounts online in myconneCT: open the "More..." menu, go to the Taxpayer Updates group, and choose Close Accounts. All returns must be filed through the closing date. Two details catch people:

  • Only the owner or an officer can close a myconneCT account. A third party cannot do it for you.
  • If you had a sales tax permit, file your final return through the closing date and destroy the permit.

If the LLC filed a Connecticut pass-through return (Form CT-1065/CT-1120SI), the last one is marked final. A single-member LLC usually reports on the owner's own return instead.

What If You Had Employees in Connecticut?

There are three extra stops. Issue final W-2s and file your last withholding returns with DRS. Close your unemployment account with the Connecticut Department of Labor through ReEmployCT. And notify CT Paid Leave that the business has closed.

What Happens If You Just Stop Filing?

The state eventually sends a Notice of Intent to Dissolve and can dissolve the LLC administratively. That is not the same as closing it cleanly. Until a dissolution is filed, Connecticut treats the business as active, and its own guidance warns that an LLC is not closed just because it stopped making money or stopped filing reports. Our guide on what happens if you don't dissolve covers why the voluntary route is cheaper.

The Short Version

  • Form: Certificate of Dissolution (BUS-035), filed with the Secretary of the State
  • State fee: $0, online or by mail
  • Annual report: $80, due January 1 to March 31, so dissolve before January to skip the next one
  • Tax accounts: close separately in myconneCT, owner or officer only
  • Employees: final W-2s, ReEmployCT, and CT Paid Leave

We file Connecticut dissolutions for $99, and the state fee is $0, so that is the total for the state filing.
